Corporate Representation
Every business needs a trusted legal adviser to assist it during its lifetime. From incorporation to dissolution, legal counsel is mandatory to the success and protection of every company and its ownership. No matter whether a business or its owner needs advice on a routine or occasional basis, it is imperative that a relationship be in place that allows for that business or its owner to get legal counsel on the phone in a timely manner.
The Bray Law Firm was created in 2002 for the stated purpose of offering the majority of those services provided by large firms in a smaller, boutique setting. As we have grown, so have our clients. The majority of the companies that initially retain our services develop into long-term clients. This is a testament to our continued emphasis on personal service, a dedicated emphasis to corporate representation and our understanding of the unique and complex needs of the small to mid-size business.
Representative corporate clients of The Bray Law Firm include companies such as PIVoD Technologies, InterCerve, Global Financial Credit, Tri Star Group, Lorica Group, Joey Logano Racing, Braun Racing, Ready Solutions, PR Store, MoRisen Records, WHHI-TV, Telco Sensors, Carolina Home Buyers Realty, AnglersChannel.com, Viacentric, United Media Graphics, My Creative Team, Fun City Pools, and Lollipop Creations.
Our attorneys handle matters both transactional (contracts, acquisitions, private offerings) and litigation (lawsuits, mediations, arbitrations) in nature. This means that our advice is grounded not only in the practical economic realities of the proposed deal, but with an eye towards conducting the deal in a fashion that results in little risk from a litigation perspective to the client.
Recent transactions handled by our attorneys have included the sale of Longhorn Transportation, a Houston-based transportation company (2005); the sale of the hosting division of Huntersville-based Intercerve to Peak 10 (2006); the purchase of WHHI-TV in Hilton Head (2006); and the purchase of Global Financial Credit (2008). Further, in each of the past three years, our business litigation practice has handled at least one corporate matter with a settlement or judgment in excess of $1,000,000.00.
The Bray Law Firm has expertise in dozens of industry sectors, which include: construction; technology; retail; manufacturing; telecommunications; broadcasting; marketing; sports; entertainment; lending; real estate and professional services.
Although not intended as a comprehensive list, our corporate law practice includes work in the following areas:
| Contracts | Employment Matters | Mergers & Acquisitions |
| Private Offerings | Shareholder Agreements | Business Disputes |
| Partnership Disputes | Trademarks | Corporate Audits |
| Buy-Sell Agreements | Succession Plans | Regulatory Matters |
| Unfair Trade Practice | Licensing Agreements | Corporate Dissolution |
Many of the firm’s clients formerly engaged some of the largest firms in the country for their legal needs, and have since found that the type of service offered within our firm’s boutique setting is better suited to their unique needs. We welcome clients with new ventures, as well as clients looking for an alternative to their previous general corporate representation.
Retainers for new corporate clients are tailored to reflect the amount of work reasonably forecasted to be required during the first two months of representation. Typical retainers range from as little as $1,000.00 to as much as $25,000.00 depending on the nature of the immediate need. A portion of the retainer is typically non-refundable to the client.
